LastChatThese Terms of Service ("Terms") govern your access to and use of LastChat and its related services (collectively, the "Services") operated by Reforged LLC ("Reforged", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
1. Definitions
For the purposes of these Terms, the following definitions apply:
"User" or "you" means the individual, application, or entity accessing or using the Services.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.
2.2 Account Registration
To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and up-to-date information during the registration process and to update it as necessary.
3. Use of the Services
What you can do. Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws as well as any other policies we make available to you.
What you cannot do. You may not use the Services for any illegal or harmful activities. For example, you may not:
Use the Services in any way that violates applicable laws or regulations.
Engage in any activity that could disrupt or negatively impact the Services or our systems, such as introducing viruses or malware, spamming or DDoSing the Services, or bypassing any of our systems or protective measures.
Attempt to gain unauthorized access to the Services, our systems, or any other user's account.
Crawl, scrape, or otherwise harvest data or information from our Services other than as permitted under these Terms.
Use the Services for any unlawful, harmful, or unethical purposes.
Use the Services to generate or share content that infringes on any intellectual property or privacy rights of a third party.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
3.1 Feedback
You may provide us with feedback, suggestions, and ideas about the Services. We appreciate your feedback, and you agree that we may use it without any restrictions, obligations, or compensation to you.
4. Content
You may submit text input, documents, or other materials to our Services for processing (we call these "Inputs"), and receive output, such as AI-generated responses, from the Services based on your Inputs (we call these "Outputs"). Inputs and Outputs are collectively referred to as "Content".
You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms.
You represent and warrant that you have all rights, licenses, and permissions needed to provide Inputs to our Services.
4.1 Ownership of Content
As between you and Reforged LLC, and to the extent permitted by applicable law, you (a) retain your ownership rights to Inputs and (b) own the Outputs. We hereby assign to you all our right, title, and interest, if any, in and to Outputs.
4.2 Our Use of Content
We may use Content to provide, maintain, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe and secure.
4.3 Accuracy of Content
The Services rely on Artificial Intelligence (AI) systems to generate Outputs. While we strive for accuracy, Outputs may contain errors, omissions, or inaccuracies. You agree:

Not to rely on Outputs as factual information or advice of any kind. For advice, please consult with a qualified professional in the relevant field.
You acknowledge that Outputs may incorporate Third-Party Outputs, as described in Section 5. Reforged does not review or endorse Third-Party Outputs for accuracy, reliability, or completeness.
5. Third-Party Services and Outputs
Our Services may include third-party software, products, or services ("Third-Party Services") and some parts of our Services may include outputs from those services ("Third-Party Outputs"). Reforged does not endorse, verify, or assume any responsibility for such Third-Party Services or Third-Party Outputs. Your use of Third-Party Services and Third-Party Outputs are subject to the terms and conditions of those third parties.
6. Intellectual Property Rights
The Services and all associated content, unless otherwise indicated, are the property of Reforged or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not modify, reproduce, distribute, republish, download, or create derivative works based on the Services or its content except as expressly authorized in these Terms.
6.1 Infringement Notification
Reforged respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that your work has been used in a manner that constitutes copyright infringement, please notify us at support@reforged.dev.
7. Subscriptions, Payments, and Refunds
7.1 Service Plans
The features of our plans are detailed on our website. All prices are in USD unless otherwise stated.
7.2 Subscription Terms and Payments
By selecting a paid subscription plan, you agree to pay the associated subscription fees. Subscription fees are billed in advance of the billing period. Your subscription will automatically renew at the end of each billing period unless cancelled. Subscription periods may be monthly, annual, or as otherwise specified at the time of purchase.
All payments are processed securely through our payment processor, Stripe. You are responsible for providing accurate and current billing information. By submitting your payment information, you automatically authorize Reforged to charge all subscription fees incurred through your account to any such payment instruments. If a payment fails, we may suspend your access to paid features until the payment is successfully processed.
7.3 Taxes
Fees do not include any applicable taxes, levies, duties, or similar governmental assessments (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchases, including but not limited to sales, use, and value-added taxes. If Reforged has the legal obligation to pay or collect Taxes for which you are responsible, we will invoice you for that amount, and you agree to pay it unless you provide Reforged with a valid tax exemption certificate authorized by the appropriate taxing authority in advance. If required by law, we may collect Taxes on your behalf and remit them to the appropriate tax authorities.
7.4 Cancellations and Refunds
You may cancel your subscription at any time through your account settings or by contacting support@reforged.dev. Upon cancellation, you will continue to have access to existing paid features until the end of your current billing period. After cancellation and the end of your billing period, you will no longer have access to the paid features and data associated with those features may be deleted.
All payments are non-refundable, except where required by applicable law. We do not provide partial refunds for cancellation before the end of the billing period or for unused portions of a subscription period.
7.5 Changes to Pricing and Plans
We reserve the right to change our pricing and plans at any time. We will provide notice of any price changes at least 30 days in advance through email or through the Services. For existing subscribers, new pricing will take effect at the start of the next billing cycle after the notice period. If you do not agree with the price changes, you may cancel your subscription before the new pricing takes effect.
7.6 Disputed Charges
If you believe you have been incorrectly charged, please contact support@reforged.dev within 30 days of the charge. We will review all disputes in good faith and work to resolve them promptly.
8. Limitations and Disclaimers
8.1 Limitation of Liability
In no event shall Reforged, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; (iv) unauthorized access, use, or alteration of Content; or (v) reliance on the Content. This limitation of liability applies regardless of the legal theory upon which the claim is based, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Reforged has been advised of the possibility of such damages.
8.2 Disclaimer of Warranties
The Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Reforged does not warrant that (a) the Services will function uninterrupted, be secure, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.
9. Indemnification
You agree to indemnify, defend, and hold harmless Reforged, its affiliates, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with (i) your use or misuse of the Services; (ii) any violation of these Terms by you; or (iii) any Inputs submitted by you.
10. Legal Provisions
10.1 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Seattle, Washington, United States.
10.2 Dispute Resolution
If a dispute arises between you and Reforged, we encourage you to first contact us at support@reforged.dev to attempt to resolve the dispute informally. If the dispute cannot be resolved informally, you agree to resolve any claim or controversy arising out of or relating to these Terms or your use of the Services through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Seattle, Washington, United States, and the language of the arbitration shall be English. The decision of the arbitrator shall be final and binding upon the parties.
10.3 Termination
Reforged may terminate or suspend your access to the Services, in whole or in part, at any time and without prior notice, if you breach these Terms or for any other reason at our sole discretion.
10.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
10.5 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reforged regarding your use of the Services and supersede any prior agreements or understandings, whether written or oral.
11. Changes to the Terms
We may update these Terms from time to time to reflect changes in our practices, services, or legal requirements. If we make material changes, we will post the revised Terms on our website and update the "Last updated" date above. We encourage you to review these Terms whenever you access or use our Services to stay informed about any updates or changes. Your continued use of the Services after the revised Terms have been posted constitutes your acceptance of the changes.
